SkyMinder: SkyMinder Terms of Use

SKYMINDER USER AGREEMENT
This Agreement (hereinafter “Agreement”) sets forth the terms and conditions under which CRIBIS Corporation, a Florida  corporation located principally in Tampa, FL (hereinafter “CRIBIS Corp.”) provides to you (hereinafter “User”) the right to access and use for personal and/or internal business purposes only, except for the “CRIF S.p.A. Information” (as defined below), the SkyMinder Online Business Information Service (the “Service” as defined below). The Service is available only to employees or other authorized individuals who can legally bind User under applicable law and is not available to minors (typically individuals younger than 18-years-old). We reserve the right to deny access to all or part of the Service at any time in our sole discretion. 
User understands and agrees that the Service is regulated by the Registration Form (as described hereinafter) and the  latest version of any written or electronic Agreement both accepted by signing or clicking “I agree”. User understands and agrees that CRIBIS Corp. may modify from time to time the Agreement and that she/he/it has the duty to read Agreement. everytime he accepts it by signing or clicking “I agree”.


1.	Definitions.
(a) “Content” means all information, data, text, images, photographs, video, sound and other multimedia elements owned by or licensed to CRIBIS Corp. and offered by CRIBIS Corp. on the Service.
(b) “CRIF S.p.A. Information” means the information provided to CRIBIS Corp. by the Information Provider CRIF S.p.A.
(c) “Information Providers” means third parties providing to CRIBIS Corp. the information and data offered by CRIBIS Corp. on the Service.
(d) “Information Providers’ Special Terms and Conditions” means specific terms and conditions to be applied to the use of information and data provided by specific Information Providers. “Information Providers’ Special Terms and Conditions” shall be considered incorporated into this Agreement.
(e) “UserID” means the unique identifier used by User to enter the Service.
(f) “Password” means the confidential code that the User must enter in conjunction with the UserID to access to the Service together with the UserID.
(g) “Registration Form” means a form which includes the data and the other information necessary to become an authorized user of the Service, the User’s specific economic and payment conditions and  if the User accesses to SkyMinder or SkyMinder Bit as defined below.
(h) “Service” means the SkyMinder Online Business Information Service, owned by CRIBIS Corp., located and described at http://www.skyminder.com through which CRIBIS Corp. offers news, information, data and other content in electronic format created or compiled by CRIBIS Corp.. The Service may be modified by CRIBIS Corp. from time to time. The Service is available in 2 versions: SkyMinder and SkyMinder Bit as defined hereinafter. Every reference to Service will be intended to refer both to  SkyMinder and SkyMinder Bit. 
(i) “Site” means the site http://www.skyminder.com through which User can access to the Service. 
(l) “SkyMinder” is the Service version allowing the User to access all the information available on the Service indicated on the site http://www.skyminder.com
(m) “SkyMinder Bit” ” is the Service version through which the User can access a limited amount of information indicated on the site http://www.skyminder.com 
(n) "Deposit Account" is an account where CRIBIS Corp. holds the amounts paid in advance by the User to CRIBIS Corp.. 
(o) “SkyMinder Free Trial” is provided by CRIBIS Corp., at its discretion, free of charge for a limited period and a limited use. Except what indicated in the clause 8 (c), every reference to Service or SkyMinder will be intended also to refer to Free Trial SkyMinder.
(p) “Safe Harbor” means principles published by the United States Department of Commerce and approved by European Commission decision number 2000/520/CE and by Italian Data Protection Authority decision of 10th day of October 2001 which, if complied, warrants an adequate protection level for the data transfer from European Union to United States.
(q) “Sell” means to resell information to end users
(r) “Distribute” means to sell information to resellers.

2. Access and use of the Service. CRIBIS Corp. will provide to the User, and the User hereby accepts, a nonexclusive, nontransferable right during the Term to access and use SkyMinder or SkyMinder Bit ,  subject to the terms, limitations and conditions set forth in this Agreement. Registration  Form indicates if the User accesses to SkyMinder or SkyMinder Bit.

3. User ID/Password/Security. The information that the User provides to CRIBIS Corp. during the registration process or in any public message area must be current, complete, and verifiable.  If the User provides incomplete or inaccurate information, CRIBIS Corp. may terminate User’s account.  The User may not use his/her/its UserID and Password for any unauthorized purpose. The User may not disclose User’s Password to third parties. The User is responsible for  any and all actions taken under his/her/its User ID and Password. The User must notify CRIBIS Corp. immediately of any unauthorized use of User’s ID or Password or any other breach of security. Passwords not selected by the Users themselves must be changed after the first login. All Passwords must be changed every ninety (90) days. Password must be at least eight (8) characters long, without including any direct references to the User and must not be easy to guess.

4. Ownership. User acknowledges and agrees that the Content is derived from databases that belong to Information Providers and that CRIBIS Corp. and Information Providers retain all right, title and interest, including without limitation copyright and other proprietary rights, in the Service and the Content.

5. Use and access restrictions. Except for what it is stated below about CRIF S.p.A. Information,   the User shall use the Service and the Content only for personal or internal business purposes.  Except for what it is stated below about CRIF S.p.A. Information, the User shall not copy, reproduce in any form, license, Sell, transfer, make available or otherwise Distribute the Service, the Content or any part thereof (except for CRIF S.p.A. Information) to any entity or person, except that User may make one (1) electronic and/or one (1) paper copy of any Content specifically purchased by the User from CRIBIS Corp. provided that such copies are used solely for User’s personal or internal business use.  User shall immediately notify CRIBIS Corp. of any unauthorized use, copying or distribution of the Service and of the Content of which User becomes aware, and User shall use his/her/its best efforts to immediately stop all such unauthorized use. In no event shall User use the Service or Content for any purpose that competes with the business of either CRIBIS Corp. or its Information Providers. The User is authorized to Sell and/or Distribute the CRIF S.p.A. Information according to the terms and conditions described in the “Information Providers’ Special Terms and Conditions” section with reference to CRIF S.p.A. Information.

6. Delivery. User will be able to access to the Service solely through the Internet, using MS Internet Explorer. Access to Service will be possible for the User only through use of a valid UserID and Password.

7. Service Message: All communications regarding the Service will be sent to the User at the e-mail address provided by User in the Registration Form, and, to the extent that notice is required under this Agreement, User agrees that email addressed to such email address constitutes sufficient and valid notice.

8. Charges and payment. 
(a) SkyMinder. The User agrees to pay CRIBIS Corp. the charges for all access to Content on the Service as they become due. Charges will be calculated in accordance with the rates listed in www.skyminder.com <http://www.skyminder.com>, as amended from time to time. A rolling balance (residual amount available for accessing information and data) will be displayed for the User reference when the User accesses the Service. The User will be required to pay an activation fee in order to cover costs related to the activation of the User. Further specific economic and payment conditions are included in the Registration Form signed or accepted by clicking “I agree”.
(b) SkyMinder Bit. The User may only pay for the Service using a valid credit card. The User must provide all credit card information requested by CRIBIS Corp. prior to accessing the Service. Charges for all access of Content on the Service will be charged to User’s credit card in accordance with the rates listed at www.skyminder.com, as amended from time to time.
(c) SkyMinder Free Trial. The Registration Form, accepted by the User, indicates that the SkyMinder Free Trial is provided for a limited period and a limited use is and the activation is at CRIBIS Corp.’ discretion.

9 . Availability of Service. The User understands and agrees that the availability of the Service may be interrupted, for maintenance services or otherwise, from time to time.  CRIBIS Corp. is not responsible for any such delays or outages. CRIBIS Corp. reserves the right to make modifications and improvements to the Service and its conditions of availability.

10. Term and termination.  
The Agreement shall commence on the date it is physically signed by the User or accepted by clicking the “I Agree…” button and shall remain in effect for the term included in the Registration Form or until one of the following, upon which the Password and the UserID will be disabled by CRIBIS Corp.:
1.	if User’s Deposit Account is exhausted, unless another payment option is chosen and activated before the Deposit account is exhausted;
2.	if User provides written notice to CRIBIS Corp. that he/she/it will cease to use the Service. In this case, the remaining balance of the Deposit Account will be forfeited to CRIBIS Corp.;
3.	if CRIBIS Corp. gives the User a prior written notice of 10 days by fax or e-mail.  In this case the remaining balance of the Deposit Account will be returned to the User; 
4.	if there is no purchase on the Deposit account for a period of one hundred and eighty (180) consecutive days AND the remaining balance of the Deposit Account is lower than the amount necessary for the minimum purchase.  In this case the Deposit Account paid by the User will be forfeited to CRIBIS Corp.;
5.	if there is no purchase on the Deposit Account  for a period of two (2) consecutive years. In this case the Deposit Account will be forfeited to CRIBIS Corp.;
6.	if the User is in breach of its warranties, obligations and duties provided under articles 3,  5, 8, 13, 14, 15 or 16 of the Agreement, and is notified of such breach in writing, fax or e-mail by CRIBIS Corp. . In this case, the Agreement is canceled without prejudice to any other remedy of CRIBIS Corp. and the Deposit Account paid by the User will be  forfeited to CRIBIS Corp..

In the event that the above mentioned 1, 4, 5 or 6 occurs, CRIBIS Corp., at its own discretion and without previous notice, can cancel the present Agreement. 

11. Warranties. THE SERVICE IS PROVIDED ON AN “AS IS” BASIS AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CRIBIS Corp. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS  FOR A PARTICULAR PURPOSE OR ANY IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. 

CRIBIS Corp. DOES NOT WARRANT THAT THIS SITE  WILL BE UNINTERRUPTED,  ERROR-FREE OR ACCESSIBLE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE WILL BE SECURE OR OPERATE WITHOUT ERROR OR THAT THIS SITE OR SERVICES WILL MEET USER’S REQUIREMENTS. 

CRIBIS Corp. AND ITS INFORMATION PROVIDERS MAKE NO REPRESENTATIONS AND/OR WARRANTIES THAT THE CONTENT OR THE RESULT OBTAINED FROM USING IT IS ACCURATE AND/OR COMPLETE AND/OR DOES NOT CONTAIN ANY LIBELOUS OR DEFAMATORY MATTER. TO THE FULL EXTENT PERMISSIBLE UNDER APPLICABLE LAW, CRIBIS Corp. DISCLAIMS ANY AND ALL SUCH WARRANTIES. 

12. Liability.  CRIBIS Corp. and its Information Providers’ total liability arising out of any type of legal claim (whether in contract, tort or otherwise) shall be limited to any amounts the User may have paid to CRIBIS Corp. during the twelve (12) month period immediately preceding the date on which such claim arose and, in the absence of any such payment, CRIBIS Corp. and its Information Providers shall have no liability. To the maximum extent permitted by applicable law, in no event will CRIBIS Corp. or its Information Providers be liable for any indirect, consequential, incidental, special, multiple, punitive or similar damages including, but not limited to, damages for lost profits, loss of goodwill, loss of data, or any and all other loss resulting from the use of the Service by the User.

13. Warranties and representation of the User. The User represents and warrants that all the personal data declared by the User in the present Agreement and in the Registration Form and entered by the User in using the Service is true and corresponds to the user named in the Registration Form. The User represents and warrants that they have the legal capacity and powers to subscribe the present Agreement.

14. Other duties and liabilities of the User. The User hereby agrees not to use the Service or related communication services to:
a)	disturb, abuse of, and in any way violate rights of third parties, included but not limited to right of privacy;
b)	infringe any applicable laws and regulations, included but not limited to, laws and regulations about privacy;
c)	send or forward messages or communications which are abusive, offensive, obscene, or of such nature to give intentionally offence to any recipient;
d)	send or forward  messages which promote, sell or advertise any product or service to any recipients; and/or
e)	send or forward files or other material which is affected by viruses or similar problems;
The User agrees not to allow third parties, other than duly authorized employees of the User, to use, take possession of or have knowledge of the UserID and/or the Password.  In the event that there is the possibility that the UserID or the Password is known by third parties for any reason (e.g., theft or loss), the User shall notify CRIBIS Corp. of this possibility as soon as the User has knowledge of it, and then shall confirm it to CRIBIS Corp., within the following 24 hours, by registered or certified mail, return receipt requested.  In this event the User has the responsibility for any use of the Service until 12 o’clock of the first working day following  the date on which CRIBIS Corp. receives said notice from the User. It is understood that CRIBIS Corp. will use reasonable efforts to disable the Password as soon as possible upon notification. In addition the User agrees to comply with all additional  terms and conditions -also set forth by the Information Providers as published and posted on the Service from time to time. Such additional terms and conditions shall be deemed to be part of  this  Agreement.

15. Indemnification.  The User agrees to indemnify, defend and hold harmless CRIBIS Corp. and the Information Providers from any and all claims, damages, liabilities, costs, charges, and expenses, including attorneys’ fees, arising out of any breach of this Agreement by the User, including any use of the Content which is not expressly authorized under this Agreement, including without limitation any violation of copyrights belonging to third parties.

16. Consultancy Services.  CRIBIS Corp. is engaged in consultancy services for the provision of tailored research to the specific needs of its users, providing customized reports and information.  User can request a consultancy arrangement whereby CRIBIS Corp. engages in the provision of tailored research for User’s specific needs and CRIBIS Corp. agrees to provide User with consultancy and other services on the terms and subject to the conditions contained in this Agreement.  CRIBIS Corp. agrees to perform for the User those services which are mutually agreed upon by the parties as more particularly described in Statements of Work signed by User (each, a “SOW”).  Each SOW shall specifically identify this Agreement and indicate that it is subject to the terms hereof and shall be deemed to be a part of this Agreement as if fully set forth herein.  Unless otherwise expressly provided in a SOW, the provisions of this Agreement shall prevail if there is any inconsistency between a SOW and this Agreement.  User appoints CRIBIS Corp. to provide the Consultancy Services during the Term defined above in return for fees and any other compensation set forth in each SOW.  In consideration of the Consultancy Services rendered by CRIBIS Corp. under this Agreement, User agrees to pay the fees and any other compensation at the time and in the manner set forth in each SOW.  CRIBIS Corp. will have no obligation to perform the Consultancy Services when any amount required to be paid by User remains due and unpaid.

17. Safe Harbor compliance.  CRIBIS Corp. declares to be Safe Harbor compliant and the User can display CRIBIS Corp. privacy notice on the Site. That means that data included in the Content and transferred from the European Union to CRIBIS Corp. are processed in compliance with Safe Harbor.

18. General.
(a) This Agreement shall be executed in two counterparts, one in English language and one in the language of the User's country if available, each of which shall be deemed to be an original, and each of which shall constitute one and the same agreement.
(b) This Agreement and any subsequent written or electronic agreement executed by User, shall comprise the complete agreement between User and CRIBIS Corp., and shall supersede all preceding agreements and proposals, whether or not oral or written
(c) Neither CRIBIS Corp. nor its Information Providers shall be responsible for delays or performance failures caused from acts beyond their reasonable control.  Without limiting the generality of the foregoing, the parties agree that the functioning of the Internet and of the national and international telephone networks are beyond the reasonable control of CRIBIS Corp..
(d) The User’s name and address will be stored on the CRIBIS Corp.’ databases. This information as well as details strictly limited to accounting may be given to Information Providers. Information entered by the User in using the Service shall be also stored in CRIBIS Corp.’ data base to service the User’s requirements and also for marketing purposes of CRIBIS Corp. and of companies belonging to the same legal corporate or group structure as CRIBIS Corp..
(e) User may not assign or transfer any of the rights and obligations herein without the prior written consent of CRIBIS Corp..
(f) CRIBIS Corp. may assign or transfer all or part of the right and obligations herein, providing that notice is given to the User by fax or e-mail.
(g) This Agreement shall be subject to and governed by the laws of the state of Florida, in the United States. The parties hereby agree that any dispute relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the Middle District of Florida, and User hereby consent to personal jurisdiction in such courts. CRIBIS Corp. shall be entitled, at its discretion, to initiate proceedings before the Courts where the User shall have its registered office.
(h) If any provision of this Agreement is deemed illegal or unenforceable, all other provisions shall remain in effect. 


“Information Providers’ Special Terms and Conditions”:

Special Terms and Conditions for the use of information and data provided by Dun & Bradstreet:

DUN & BRADSTREET, INC. ("D&B") TERMS OF AGREEMENT
	1. All information which Dun & Bradstreet, Inc. ("D&B") furnishes to you ("Information") will be used by you solely as one factor in your credit, insurance, marketing or other business decisions and will not be used to determine an individual's eligibility for credit or insurance to be used primarily for personal, family or household purposes or to determine an individual's eligibility for employment. You also agree that the Data will not be used to engage in unfair or deceptive practices.  You are granted the right to display, download and print the Information you purchase.
	2. You represent and warrant that your use of any Information shall in all cases comply with all applicable federal, state and local laws and regulations
	3. You agree that the Information will not be reproduced, revealed or made available to anyone else, it being understood that the Information is licensed for the specified use only. You agree to indemnify, defend and hold harmless D&B from any claim or cause of action against D&B arising out of or relating to use of the Information by individuals or entities which have not been authorized by this Agreement to have access to and/or use the Information. 
	4. YOU ACKNOWLEDGE THAT D&B DOES NOT WARRANT OR GUARANTEE THE TIMELINESS, CURRENTNESS, ACCURACY, COMPLETENESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION. YOU ALSO ACKNOWLEDGE THAT EVERY BUSINESS DECISION INVOLVES THE ASSUMPTION OF A RISK AND THAT D&B, IN FURNISHING THE INFORMATION TO YOU, DOES NOT AND WILL NOT UNDERWRITE THAT RISK, IN ANY MANNER WHATSOEVER. YOU THEREFORE AGREE THAT D&B WILL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR INJURY CAUSED IN WHOLE OR IN PART BY D&B'S NEGLIGENCE IN PROCURING, COMPILING, COLLECTING, INTERPRETING, REPORTING, COMMUNICATING OR DELIVERING THE INFORMATION. 
	5. YOU AGREE THAT D&B WILL NEVER BE LIABLE FOR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY. YOU ALSO AGREE THAT D&B'S LIABILITY OF ANY AND ALL LOSSES, DAMAGES OR INJURIES WHICH YOU SUFFER OR INCUR ARISING OUT OF ANY ACTS OR OMISSIONS OF D&B IN CONNECTION WITH ANYTHING TO BE DONE OR FURNISHED HEREUNDER, REGARDLESS OF THE CAUSE OF THE LOSS, DAMAGE OR INJURY AND REGARDLESS OF THE NATURE OF THE LEGAL RIGHT CLAIMED TO HAVE BEEN VIOLATED, SHALL NEVER EXCEED $10,000.00 AND YOU COVENANT AND PROMISE THAT YOU WILL NOT SUE D&B FOR A GREATER AMOUNT. 
	6. You acknowledge and agree that the copyright to the Information is and shall remain with D&B. You acknowledge that the Information, regardless of form or format, is proprietary to D&B and comprises: (a) works of original authorship, including compiled Information containing D&B's selection, arrangement and coordination and expression of such Information or pre-existing material it has created, gathered or assembled; (b) confidential or trade secret Information; and (c) Information that has been created, developed and maintained by D&B at great expense of time and money such that misappropriation or unauthorized use by others for commercial gain would unfairly and irreparably harm D&B. You shall not commit or permit any act or omission by your agents, employees or any third party that would impair D&B's proprietary and intellectual property rights in the Information. You agree to notify D&B immediately upon obtaining any Information regarding a threatened or actual infringement of D&B's rights. 
	7. These Terms of Agreement are in addition to those found in any CRIBIS service agreement.  If there is a conflict between these Terms of Agreement and those found in any such service agreement, then these Terms of Agreement will apply. This Agreement shall be governed by and construed in accordance with the laws of New Jersey without giving effect to its conflicts of laws provisions. Any disputes arising hereunder must be filed and shall be venued in the courts of the New Jersey and the parties hereby submit to the jurisdiction of such courts.

The information available through Investext (the "Service") is protected by copyright and is subject to the terms of usage contained in the User Agreement. The information is provided for the internal use of the subscriber (to include print, download and viewing) and may not be duplicated or redistributed in hard copy, machine-readable, or any other form without written authorization from The Investext Group. Reports provided by Moody's Investors Service, as well as many other research reports and information are subject to usage restrictions and other terms and conditions which are available through The Investext Group, 22 Pittsburgh Street, Boston, MA  02210, and are incorporated herein by reference. By accessing the Service, the subscriber acknowledges that it agrees to abide by them. 
The Investext Group and the various data contributors whose material is available through the Service make no representation or warranty, expressed or implied, as to the timeliness, accuracy or completeness of the information provided, including warranties of merchantability or fitness for a particular purpose. Electronic conversion and transmission of textual and numeric data may cause errors and/or omissions in the information provided. Furthermore, the information may not be up-to-date due to a delay between the preparation of data and its inclusion on the Service. For these reasons, the reports contained on the Service are provided for research purposes only and not for investment or any other purposes. The Subscriber may also transfer insubstantial portions of the data within the MOODY’S Database in machine-readable form (“Downloaded Data”) to a storage device under the Subscriber’s exclusive control, store temporarily such Downloaded Data, and display such Downloaded Data for Subscriber’s internal purposes only.  Subscriber may also create printouts of insubstantial portions of the data within the MOODY’S Database solely for Subscriber’s internal purposes.
	All  information contained herein is obtained by MOODY’S from sources believed by it to be accurate and reliable. Under no circumstances shall MOODY’S have any liability to any person or entity for (a) any loss or damage in whole or in part caused by , resulting from, or relating to, any error (negligent or otherwise) or other circumstance or contingency within or outside the control of MOODY’S or any of its directors, officers, employees or agents in connection with the procurement, collection, compilation, analysis, interpretation, editing, transcription, transmission, communication, publication or delivery of any such information, or (b) any direct, indirect, special, consequential, compensatory or incidental damages whatsoever (including without limitation, lost profits), even if MOODY’S is advised in advance of the possibility of such damages, resulting from the use of or inability to use any such information.
	The credit ratings, if any, and other opinions constituting part of the information contained herein are, and must be construed solely as, statements of opinion and not statements of fact or recommendations to purchase, hold or sell any securities. 	Pursuant to Section 17(b) of the Securities Act of 1933, MOODY’S hereby discloses that most issuers of debt securities (including corporate and municipal bonds, debentures, notes and commercial paper) and preferred stock rated by MOODY’S have, prior to assignment of any rating, agreed to pay MOODY’S for appraisal and rating services rendered by it, fees ranging from $1,000 to $350,000.

Special Terms and Conditions for the use of information and data provided by CRIF S.p.A.

The User is authorized to Sell and/or Distribute the CRIF S.p.A. Information according to the terms and conditions described below.
It is understood that CRIF S.p.A. and the User shall comply, each of them bearing their exclusive liability, with laws and regulations, including data protection law,  concerning the communication and diffusion of the Information and ratings contained in the CRIF S.p.A. Information.
The management of all means and technology necessary to Sell and/or Distribute the CRIF S.p.A. Information is on the exclusive responsibility of the User.
The User shall not modify or delete the content of the CRIF S.p.A. Information, or any part of it, including the Trademark that shall be included in the report.
The User shall not use the names “Infocamere”, “Camere” or their unions for their products.
The User acknowledges and accepts that Infocamere, the administrator of the Camere di Commercio Data Base, will use its best efforts in managing the Information and in the availability of the services and grants that Information is the equivalent of the Information provided by Camere’s official archives as of the date when the Information is extracted, and Infocamere is not responsible for the accuracy and completeness of the Information, except in cases of fraudulent intention and/or gross negligence, but Infocamere will be exclusively responsible for all damages caused by Infocamere due to inaccuracy, incompleteness  or lack of Information.
The User acknowledges and accepts that Infocamere and CRIF S.p.A. shall not be liable if their performance of their obligations under this Agreement is prevented or hindered due to any circumstances outside their control.
	The User agrees to indemnify, defend and hold harmless CRIF S.p.a. from any claim or cause of action against CRIF S.p.a. arising out of or relating to use, reselling and/or distribution of the CRIF S.p.A. Information.
The User acknowledges and accepts that, in providing CRIF S.p.A. information, CRIF S.p.a. doesn’t intend to evaluate or give any advice. All decisions and/or evaluations arising from CRIF S.p.A. Information are exclusively made by the User.
These terms and conditions are applicable to the User and to any of the User’s customer who use CRIF S.p.A. Information.
The User accepts to inform their customers regarding the above terms and conditions.

Special Terms and Conditions for the use of information and data provided by Experian:
EXPERIAN TERMS & CONDITIONS
A.	Restrictions on Use.  In consideration for Customer's right to receive and use certain data and services (collectively, the "Services") from Experian, Customer agrees to the following Experian Terms & Conditions for the Services:
1)  will be used solely in connection with a present or prospective credit or financial transaction with the business entity inquired upon, or for other legitimate commercial purposes, for internal use and will not be resold;
2)  will not be used as a factor in establishing an individual's eligibility for credit or insurance to be used primarily for personal, family or household purposes, or employment purposes; 
3)  will be used in compliance with all applicable laws, regulations and ordinances, and all special use restrictions set forth in the Agreement or adopted by Experian and/or CRIBIS Corp. hereafter;
4) will be maintained in confidence and disclosed only to persons whose duties reasonably relate to the business purposes for which the information was requested; and
5) Customer acknowledges that the Services it receives from Experian under this Agreement include non-public information about businesses and, as such, customer agrees that, except as authorized by CRIBIS Corp.  it will maintain the Experian Services information in strict confidence and will not disclose such information other than to its employees who have a need to know, or pursuant to legal requirements.

B.	Warranty Disclaimer and Limitation of Liability.  Customer further acknowledges and agrees that the data and services:
1)  are not guaranteed and that neither the CRIBIS Corp., Experian nor their sources will be liable to the Customer for any loss or damage based on any errors or omissions there from; 
2)  are subject to the following exclusion of warranty. NEITHER EXPERIAN NOR ITS SOURCES GUARANTEE OR WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE SERVICES, DATA OR THE MEDIA ON WHICH THE DATA IS PROVIDED AND SHALL NOT BE LIABLE TO CUSTOMER FOR ANY LOSS OR INJURY ARISING OUT OF OR CAUSED IN WHOLE OR IN PART BY  EXPERIAN'S OR ITS SOURCES' ACTS OR OMISSIONS, WHETHER NEGLIGENT OR OTHERWISE, IN PROCURING, COMPILING, COLLECTING, INTERPRETING, REPORTING, COMMUNICATING OR DELIVERING THE DATA OR SERVICES.  IN NO EVENT SHALL EXPERIAN OR ITS SOURCES BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES TO BUSINESS REPUTATION, LOST BUSINESS OR LOST PROFITS), WHETHER FORESEEABLE OR NOT, AND HOWEVER CAUSED, EVEN IF CRIBIS Corp., EXPERIAN OR THEIR SOURCES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  THIS PARAGRAPH STATES EXPERIAN'S AND ITS SOURCES' ENTIRE LIABILITY AND THE SOLE REMEDY OF CUSTOMER IN CONNECTION WITH THE PROVISION OF THE DATA AND SERVICES.

IF, NOTWITHSTANDING THE PRIOR PARAGRAPH, LIABILITY CAN BE IMPOSED ON, EXPERIAN OR ITS SOURCES, THEN CUSTOMER AGREES THAT THE AGGREGATE LIABILITY FOR ANY OR ALL LOSSES OR INJURIES TO CUSTOMER CONNECTION WITH ANYTHING TO BE DONE OR FURNISHED UNDER THE AGREEMENT, REGARDLESS OF THE CAUSE OR THE LOSS OR INJURY (INCLUDING NEGLIGENCE) AND REGARDLESS OF THE NATURE OF THE LEGAL OR EQUITABLE RIGHT CLAIMED TO HAVE BEEN VIOLATED, SHALL NEVER EXCEED THE AMOUNT PAID TO EXPERIAN BY ANY PERSON OR ENTITY FOR THE AFFECTED SERVICES AND CUSTOMER COVENANTS AND PROMISES THAT IT WILL NOT SUE EXPERIAN OR ITS SOURCES FOR AN AMOUNT GREATER THAN SUCH SUM AND THAT IT WILL NOT SEEK PUNITIVE DAMAGES IN ANY SUIT AGAINST EXPERIAN OR ITS SOURCES. 

C.	These terms and conditions are in addition to those found in any agreement between customer and CRIBIS Corp.  and are entered into by Customer for the benefit of CRIBIS Corp.  and Experian.  If there is any conflict between these Experian Terms and Conditions and those in any agreement with CRIBIS Corp.  then these terms and conditions will apply.  These Experian Terms and Conditions will be governed by and construed in accordance with the internal substantive laws of the State of California, USA.  The parties agree that the venue for any dispute arising out of the access to, or use by, Customer of any information or data provided by Experian shall be in Orange County, California, whether brought in federal or state court.
